Overview
Naomi focuses her practice on business transactions and commercial law.
She plays a key role in representing clients in commercial financing transactions and negotiating a wide range of commercial contracts, including long term supply agreements and security agreements. Naomi’s experience spans a wide range of highly regulated industries including cannabis, aerospace, mining, and industrial manufacturing.
Naomi also advises clients on creditors’ rights and insolvency proceedings. She routinely represents secured creditors in receiverships and out of court restructurings. She brings significant second-chair experience representing trade creditors and other major stakeholders in connection with complex issues arising during high-profile Chapter 11 bankruptcy cases.
Representative Experience
- Regular representation of commercial lenders in connection with debt enforcement matters, including receiverships, workouts, and bankruptcy proceedings.
- Regular representation of manufacturers in the negotiation of long-term supply subcontracts supporting commercial and defense divisions of leading global aerospace manufacturers.
- Successfully represented an intellectual property licensor and contract counterparty (In re: Instant Brands Acquisition Holdings, Inc., U.S. Bankruptcy Court, Southern District of Texas).
- Represented a significant creditor and contract counterparty, securing assumption of multiple executory contracts and subsequent dismissal of a seven-figure preference action (In re: Rite Aid Corporation, U.S. Bankruptcy Court, District of New Jersey).
- Represented a significant contract counterparty holder (In re: Zachry Holdings, Inc., U.S. Bankruptcy Court, Southern District of Texas).
- Served as special litigation counsel to the Trustee (In re: PCS & Build LLC, U.S. Bankruptcy Court, Northern District of Ohio).
- Successfully represented a contract counterparty and defended other creditors in multiple preference claims (In re: Revlon Inc., U.S. Bankruptcy Court, Southern District of New York).
- Assisted in the successful negotiation and closure of $155 million revolving credit facility on behalf of an industrial carbon products supplier.
- Drafted settlement agreement that led to successful resolution of multi-national commercial dispute between US-based client and Canadian steel producer.
- Represented metal supply company in the negotiation of seven-figure master supply agreements with customers in various industries, including the cryptocurrency mining industry.
