James B. Niehaus Moderates Panel on Fiduciary Duty Litigation at ALFAI’s 2026 Business Litigation Practice Group Seminar

Partner and Litigation Practice Group Chair James B. Niehaus recently moderated a panel at ALFA International (ALFAI)’s 2026 Business Litigation Practice Group Seminar in Savannah, Georgia.

Jim’s session, “Fiduciary Duties and Internal Disputes in Corporations and LLCs: Litigation Strategies and Derivative Claims,” explored what happens when business co-owners end up in litigation against each other. Joined by a panel of industry professionals, Jim compared the duties shareholders owe one another with those owed among LLC members, and discussed how those distinctions shape litigation strategy, available remedies, and defenses.

Drawing on real-world matters involving closely held and publicly traded entities, the panel examined derivative fiduciary duty claims, disputes over stock purchase and put-option rights, and right-of-first-refusal litigation between owners. The conversation gave attendees a practical framework for advising clients on both sides of ownership disputes, whether representing corporate officers and shareholders or LLC members.
