Overview
As a member of the firm’s Corporate/Business Law Practice Group, Samantha advises growing and established businesses on their day-to-day needs, such as negotiating commercial contracts, structuring business entities, and managing investments.
Samantha is also an integral part of the firm’s Mergers & Acquisitions Practice Group, where she supports buyers and sellers in navigating the purchase or sale of their business. She has experience managing legal due diligence, advising on corporate compliance, and drafting and negotiating a broad array of transaction documents, including asset purchase agreements, stock purchase agreements, and equity rollover documents.
Prior to joining Frantz Ward, Samantha was an Associate at a business law firm in Cleveland, where she counseled lower middle market companies and private equity firms in Greater Cleveland and beyond on their routine business matters and strategic transactions, including sales, acquisitions, and governance.
Representative Experience
- Represented electronic connector and cable assembly manufacturer in the $127 million sale of its membership interests to a private equity firm and handled the related rollover arrangement.
- Represented private equity sponsor in its acquisitions of the assets, equity, or stock of leading dock and door and access control service companies totaling tens of millions of dollars.
- Represented a family office investing its own capital to buy and grow businesses, including an $8 million acquisition of the assets of a leading orthotics manufacturer.
- Represented a confidential buyer in its acquisition of a car dealership and the related real estate purchase.
- Represented a property, casualty, and health insurance solutions private insurance agency in the sale of its assets to a top insurance carrier for over $14 million.
- Represented a private equity firm in its $12.5 million acquisition of the assets of a manufacturer of highway and traffic safety products and managed the related rollover arrangement.
- Represented leading company operating in the aviation industry in its acquisitions of assets of aviation aircraft parts’ manufacturers totaling ~$9 million.
- Represented an RFID and antenna technology-based products manufacturing company in its merger and subsequent reorganization into related company as its subsidiary.
- Represented a private equity firm in its rollup of a plastics manufacturer in the waste disposal industry.
- Assisted in the division and subsequent new partnership of a $300 million real estate portfolio.
- Conveyances of membership interests and related purchases and sales of residential and commercial real estate, including apartment complexes and retail and office spaces.
